Overview
Welcome to the Interac Brand Resource Centre (Interac Brand Centre) where you will find brand guidelines and downloadable assets for Licensees (defined below) as well as information for nonLicensees on obtaining permission to use Interac brand assets in your materials. By accessing the Interac Brand Centre you agree to be bound by these Terms and Conditions (BRC Terms), including the brand guidelines that outline specific rules for using Interac names, logos, icons or
other brand elements (collectively, Brand Assets).
You or your shall mean each person that accesses or uses the Interac Brand Centre as a representative on behalf of their organization (and therefore includes the organization and its affiliates, and each of their directors, officers, employees and contractors).
The Brand Assets are the exclusive property of Interac Corp. (Interac) or its licensors and are protected by copyright, trademark, service marks, or other proprietary rights and laws. Interac or its licensors shall retain all rights, title, ownership and interests in the Brand Assets and any and all intellectual property rights therein.
Permitted Uses:
Existing Agreement: The Interac Brand Centre is available only to: (i) parties with an existing trademark license agreement orsponsorship agreement with Interac, (ii) parties to an agreement that provides a trademark license from Interac, and (iii) approved vendors and agencies with an existing agreement with Interac that provides a trademark license (collectively, Licensees). Other than as indicated herein, all other uses of Brand Assets without prior written authorization from Interac is strictly prohibited and may constitute trademark and/or copyright infringement.
Approved Brand Assets Only: You may only use the approved Brand Assets that are provided in the Interac Brand Centre. Consistent use of the Brand Assets helps others easily recognize Interac’s Brand Assets and assists Interac in protecting its Brand Assets. Any Brand Assets found elsewhere on the web, including images or graphic elements obtained from the Interac website, are not approved for use. You are not authorized to use the font appearing on any Interac website
or social media channel. Do not copy any written content from an Interac website. Interac reserves the right to object to any unauthorized or inappropriate use of the Interac Brand Centre or the Brand Assets and to enforce its rights at any time.
Get Final Approval: For final approval of your materials displaying any Brand Assets prior to use or display, contact [brand@interac.ca].
Licensees: : If you are a Licensee, please access the applicable Brand Guidelines and Brand Assets
in accordance with your license agreement. Contact licensing@interac.ca with any questions
Non-Licensees: If you are not a Licensee but would like to use one or more Brand Assets in your materials, please submit a request for a license agreement to licensing@interac.ca and if approved, you will be granted access to the Interac Brand Centre. A right to use Brand Assets is granted only pursuant to the terms of a license with Interac.
Sponsorships, Conferences, Events, Initiatives: If you have an existing sponsorship agreement with Interac, or other limited purpose agreement which allows you to display one or more Brand Assets in connection with your event or initiative, refer to the General Brand Guidelines as well as the guidelines below:
- Be Specific: Be clear and precise about Interac involvement with your organization or event.
- Don’t Exaggerate: Don’t overstate the role of Interac or your relationship with Interac.
- Accurately Disclose Relationship: Use language such as “sponsored by”, “supported by” or “made possible by” when referring to the role of Interac in the sponsorship.
- Don’t Claim We’re Partners: Don’t use words such as “partner”, “partnership”, “partnering with” when referring to your relationship with Interac.
- Be Accurate: Only reference Interac for the specific purpose and time period in which the sponsorship is active.
- Don’t List Past Sponsorships or Events: Don’t reference Interac outside the context of the engagement purpose or period, such as on a list of “past sponsors” or in materials unrelated to the sponsorship.
- Use Approved Logo: Use only the approved, unmodified Brand Asset that is provided to you.
- No Modification: Don’t modify, distort or make any changes to any Brand Assets.
- Get Final Approval: For final approval of your materials before use or display, or if you have any questions, contact [brand@interac.ca].
References to Interac in Your Materials: If you would like to reference Interac or an Interac product or service in an informational context only in plain text without display of a Brand Asset, you may do so upon review and approval of the content by Interac and in accordance with the restrictions set out below. As a Licensee, you are also required to adhere to the restrictions below. Notwithstanding the foregoing, Interac reserves the right to require you to remove or modify any reference to Interac in your materials at any time if it determines in its sole discretion that such reference is inaccurate, inappropriate or does not align with Interac values, and you agree to do so without delay.
The following restrictions apply:
- No Affiliation or Endorsement: Do not reference Interac in any manner that implies a relationship or affiliation with, or endorsement by Interac, or that can be reasonably interpreted to suggest editorial content has been authored by, or represents the views or opinions of, Interac.
- Prohibited Business: Do not reference Interac on any website that contains adult content, involves the sale of tobacco, vaping products, cannabis or alcohol or involves gambling to persons under the age of majority, or is otherwise illegal.
- Accurate References: All references to Interac, its affiliates or any of their respective products or services must be accurate and truthful. Interac reserves the right to require you to remove any inaccurate reference.
- Attribution:
- If referencing an Interac product or service, include a legal attribution line:
- [Insert Interac Trademark] is a trademark of Interac Corp.
- Include a prominent disclaimer of affiliation:
- E.g. “This [website/article] is not endorsed by or affiliated with Interac Corp. in any way.”
- If a Licensee, refer to the guidelines in the Interac Brand Centre for the proper use of our trademarks.
Prohibited Use: By using the Interac Brand Centre, you acknowledge that the unauthorized use of the Brand Assets or any other materials contained therein or in the Interac Brand Centre may cause irreparable harm to Interac and that in the event of any unauthorized use, Interac shall be entitled to an injunction, in addition to any other remedies available at law or in equity, to prevent such irreparable harm.
Do Not Use Without Permission: By using the Interac Brand Centre, you acknowledge that the unauthorized use of the Brand Assets or any other materials contained therein or in the Interac Brand Centre may cause irreparable harm to Interac and that in the event of any unauthorized use, Interac shall be entitled to an injunction, in addition to any other remedies available at law or in equity, to prevent such irreparable harm.
Do Not Imply Endorsement: Do not use any Brand Assets in a way that implies affiliation, endorsement or sponsorship where such a relationship does not exist.
Do Not Put the Interac Name in Your Name: Do not use, incorporate or combine any Brand Assets into your brand name, product name, business name, trade name, website domain, social media handle, hashtag or slogan.
Do Not Imitate a Brand Asset: Do not imitate any Brand Asset (including logos, distinctive colours, graphic designs, product icons or imagery associated with Interac).
Do Not Use Brand Assets on Merchandise: Do not use any Brand Asset on merchandise such as posters, decals, hand-outs, shirts, mugs, etc. unless such use has been explicitly authorized in writing by Interac.
Do Not Use Brand Assets in Contests: Do not use images of any Brand Asset in association with any contest or promotion without specific written authorization from Interac.
Do Not Contravene Brand Guidelines: Do not use any Brand Asset in a way that contravenes any Interac brand guidelines.
Do Not Reverse Engineer: Do not, and do not enable others to, copy (except as expressly permitted by your license agreement with Interac), decompile, reverse engineer, disassemble, remove, attempt to derive the source code of, decrypt, modify, or create derivative works of the Brand Assets, or any other materials included in the Interac Brand Centre, or any part thereof.
Additional Terms and Conditions
Disclaimer of Warranties: You understand and agree that your use of the Interac Brand Centre and the Brand Assets and any services or items found or attained through the Interac Brand Centre or the Brand Assets is at your own risk. The Interac Brand Centre and the Brand Assets are provided on an “as is” and “as available” basis, without any warranties or conditions of any kind, either express or implied including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.
Neither Interac nor its affiliates, or their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, or successors (collectively, Interac Parties) make any warranty, representation, or endorsement with respect to the completeness, security, reliability, suitability, accuracy, currency, or availability of the Interac Brand Centre or Brand Assets. Without limiting the foregoing, neither Interac nor the Interac Parties make any representation or warranty that the Interac Brand Centre or the Brand Assets, or any services
found or attained through the Interac Brand Centre or Brand Assets will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the Interac Brand Centre or the server that makes it available are free of viruses or other harmful components.
Limitation of Liability: Except where prohibited by law, in no event will Interac be liable to You for any damages of any kind, including indirect, consequential, exemplary, incidental or punitive damages or lost profits, even if Interac has been advised of the possibility of such damages, arising out of or in connection with your use of, or inability to use, or reliance on the Interac Brand Centre or the Brand Assets or any services, items, third party resources found or attained through the Interac Brand Centre or the Brand Assets.
Indemnification: To the greatest extent permitted by law, You shall indemnify, defend and hold Interac and the Interac Parties harmless for any claims, liability and expenses of any kind (including reasonable legal fees and costs) arising out of Your breach of these BRC Terms,
wrongful activity, illegal act or your use of the Interac Brand Centre, including any and all use of any Brand Asset or any other material or information provided to you by or on behalf of Interac. Interac reserves the right to take exclusive control and defense of any claim, and you will cooperate fully with Interac in asserting any available defenses
Governing Law: These BRC Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein without giving effect to any choice or conflict of law provision, and any action or proceeding arising out of or related to these BRC Terms will be instituted in the courts of the Province of Ontario and/or the Federal Court of Canada
